By accessing or using Nightlife Connect (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and the operator of Nightlife Connect.

You must be at least 18 years of age to use Nightlife Connect. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. [DECISION REQUIRED: Please confirm the exact minimum age requirement. In Malaysia, the legal age for entering nightlife venues may vary — confirm whether 18+ or 21+ is appropriate for your platform.] Nightlife Connect reserves the right to request proof of age at any time and to suspend or terminate accounts that do not meet eligibility requirements.

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Nightlife Connect offers multiple account roles — including Customers, Venue Owners, and Ambassadors — each with different permissions and responsibilities. Role assignments are subject to approval by Nightlife Connect. You must notify us immediately of any unauthorized use of your account. Account creation requires email verification; accounts that are not verified may have limited functionality.

Nightlife Connect is a marketplace platform that connects customers with nightlife venues, including but not limited to clubs, bars, lounges, and entertainment establishments. The Platform facilitates browsing, reservations, ordering, and payments between customers and venues. Nightlife Connect does not own, operate, or control any venue listed on the Platform. We act as an intermediary and are not a party to any transaction between you and a venue, except for the collection of platform fees as described in these Terms.

The Platform allows you to make reservations at participating venues. When you make a booking, you are entering into a direct agreement with the venue for the provision of services. Nightlife Connect facilitates this booking but is not responsible for the venue's fulfilment of your reservation. Bookings may require a deposit or prepayment. Upon confirmation, you will receive a booking confirmation which may include a QR code for check-in. You must present this QR code or confirmation at the venue. Nightlife Connect is not liable for venue overbooking, changes to availability, or failure to honour a reservation by the venue. [DECISION REQUIRED: Confirm whether walk-in bookings via the platform are supported and how they differ from reservations.]

The Platform may offer guest list access and event listings. Inclusion on a guest list or attendance at an exclusive event is subject to the venue's terms and capacity limits. Nightlife Connect does not guarantee entry to any venue or event, even if you have been added to a guest list. Event details, including date, time, and pricing, are set by the venue or event organizer and may change without notice. Nightlife Connect is not responsible for any changes, cancellations, or inaccuracies in event information.

Nightlife Connect may offer vouchers, promo codes, and promotional campaigns from time to time. Promotions are subject to their own terms, including eligibility criteria, validity periods, and usage limits. Some promotions may be restricted to specific user groups or require identity verification. Nightlife Connect reserves the right to modify, suspend, or cancel any promotion at its discretion. Promo codes have no cash value and cannot be exchanged for cash. Abuse of promotional systems — including sharing restricted codes, creating multiple accounts to exploit offers, or manipulating referral mechanisms — may result in account suspension or termination.

Payments on the Platform are processed through our third-party payment provider, Xendit. Supported payment methods may include credit and debit cards, DuitNow, and other methods as made available. By using the Platform, you agree to Xendit's terms of service and privacy policy for payment processing. Nightlife Connect does not store your full card details. The Platform also supports a wallet feature (see Section 11) and corporate accounts. Corporate account holders are subject to additional terms agreed upon during onboarding. All prices displayed on the Platform are in Malaysian Ringgit (MYR) unless otherwise stated.

Nightlife Connect charges a service fee on transactions facilitated through the Platform. The standard service fee is 15% of the booking value, which is distributed between Nightlife Connect, the venue, and any referring Ambassador. Additionally, Nightlife Connect charges venues an 8% commission on their earnings from platform transactions. Fee structures may vary for subscribed venues or during promotional periods. Nightlife Connect reserves the right to modify fee structures with reasonable notice. [DECISION REQUIRED: Confirm whether fee waivers apply to specific subscription tiers and clarify the exact split percentages between platform, venue, and ambassador.]

In addition to Platform fees, venues may charge their own fees, including but not limited to cover charges, table minimums, bottle service fees, and charges for food and beverage items. These venue charges are determined solely by the venue and are not set by Nightlife Connect. You agree to pay all venue charges as communicated at the time of booking or at the venue. Nightlife Connect is not responsible for disputes regarding venue pricing. [DECISION REQUIRED: Confirm whether all venue charges must be pre-disclosed through the platform or if post-visit charges are permitted.]

The Nightlife Connect wallet allows you to store funds for use on the Platform. Wallet top-ups can be made through supported payment methods. Wallet balances are non-transferable between accounts and have no cash value — they cannot be withdrawn or exchanged for cash. Wallet funds do not earn interest. Nightlife Connect reserves the right to adjust or close the wallet feature with reasonable notice. Unused wallet balances may be subject to applicable regulations regarding unclaimed funds.

Bookings may be cancelled free of charge up to 24 hours before the scheduled reservation time. Cancellations made within 24 hours of the reservation may incur a charge. VIP or premium bookings that require a deposit are non-refundable. Refunds, where applicable, are processed as wallet credits to your Nightlife Connect account — they are not returned to the original payment method. If a venue cancels your booking, you will be notified and a wallet credit will be issued. Nightlife Connect is not responsible for venue-initiated cancellations. [DECISION REQUIRED: Confirm the exact cancellation window (24 hours seems standard but verify), whether partial refunds apply for partial cancellations, and whether venue-initiated cancellations trigger automatic full refunds or are handled case-by-case.]

If you fail to show up for a confirmed reservation without cancelling in advance, you may be charged a no-show fee and/or forfeit any deposit paid. No-show fees are determined by the venue and may be charged to your wallet balance or payment method on file. Repeated no-shows may result in restrictions on your ability to make future bookings or suspension of your account. Each venue may have its own policies regarding dress code, entry requirements, behaviour, consumption limits, and other rules. You are responsible for reviewing and complying with the venue's specific policies, which may be displayed on the venue's page within the Platform or communicated at the venue. Nightlife Connect is not responsible for enforcing venue policies. Failure to comply with a venue's policies may result in refusal of entry or removal from the venue, without refund.

You agree to provide accurate information when using the Platform, including for reservations, account registration, and communications. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for all activity conducted under your account. You agree not to misrepresent your identity, impersonate others, or use the Platform in a manner that could harm Nightlife Connect, its users, or its partners.

You must not engage in any of the following prohibited activities: (a) using the Platform for fraudulent or illegal purposes; (b) attempting to manipulate or circumvent the Platform's fee or payment systems; (c) creating multiple accounts to exploit promotions or referrals; (d) unauthorized access to or interference with the Platform's systems; (e) scraping, copying, or distributing Platform content without authorization; (f) using automated tools (bots, scripts) to interact with the Platform; (g) harassing, threatening, or abusing other users, venues, or Nightlife Connect staff; (h) uploading harmful, offensive, or misleading content.

Nightlife Connect reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, is harmful to other users, or is otherwise objectionable. Grounds for suspension include but are not limited to: fraud, repeated no-shows, abuse of promotions, harassment, and non-payment of fees. Upon suspension or termination, you may lose access to your account data, wallet balance (subject to applicable law), and platform features. You may appeal a suspension by contacting support@nightlifeconnect.com.

All content on the Platform, including but not limited to logos, trademarks, design, text, graphics, and software, is the property of Nightlife Connect or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes. By submitting content to the Platform (including reviews, photos, and venue information), you grant Nightlife Connect a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content in connection with the Platform's operation.

Nightlife Connect is not responsible for the quality, safety, legality, or availability of services provided by venues listed on the Platform. Any dispute between you and a venue is between you and the venue — Nightlife Connect is not a party to such disputes. Venue listings, descriptions, and images are provided by the venues or sourced from third parties and may not be fully accurate. Nightlife Connect does not endorse any venue listed on the Platform.

To the maximum extent permitted by law, Nightlife Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Nightlife Connect's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the amount of fees you have paid to Nightlife Connect in the twelve (12) months preceding the claim. These limitations apply regardless of the legal theory on which the claim is based.

Nightlife Connect reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion.

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
